Terms of Service

These terms govern your use of Membersflow — the managed membership platform we deploy, host, and maintain for your organization. They apply to every organization we serve and everyone who uses a Membersflow portal.

About these terms

These Terms of Service ("terms") are an agreement between Membersflow ("we", "us") and the organization that licenses our service, together with the staff and members who use the portal we deploy for that organization ("you"). By requesting a demo, onboarding with us, or using a Membersflow portal, you agree to these terms.

If you are a member of an organization that runs on Membersflow, your organization — not Membersflow — administers your membership. Questions about your membership, dues, or record should go to your organization first; we will always help route you to the right place.

The service

Membersflow is a managed service: we deploy, host, back up, update, and secure a dedicated portal for your organization. There is no software for you to install and no server for you to run. As part of onboarding we configure your membership types, levels, dues, and renewal terms with you, apply your branding, and help import your existing register.

Your staff administer the portal through role-based accounts; your members use a self-service area for their profile, applications, invoices, receipts, and membership card.

Accounts and access

  • You are responsible for the accuracy of the details you give us, and for keeping your login credentials and multi-factor authentication devices safe.
  • Access to administrative functions is scoped by role — staff, finance, and administrator — and every administrative action is recorded in an activity log.
  • Tell us promptly at [email protected] if you suspect unauthorized use of any account on your portal.

Acceptable use

You may use Membersflow only for lawful purposes connected with running your organization. You agree not to:

  • use the portal to store or distribute content that is unlawful, defamatory, or infringes anyone's rights;
  • harass, harm, or mislead members or applicants through the platform;
  • scrape, harvest, or mass-export member data from any Membersflow portal — including public directories — beyond the exports available to your own organization;
  • publish a member's details in a public directory without that member's opt-in consent;
  • probe, scan, or test the vulnerability of the service, or circumvent its access controls or usage limits.

We may suspend access that threatens the security, integrity, or availability of the service, and will tell your administrators why as soon as practicable.

Your data and who owns it

You own your data. Your member register, applications, invoices, receipts, and configuration belong to your organization. We process that data on your instructions, as a service provider, to operate and maintain your portal.

You are responsible for having a lawful basis for the member data you collect — including any consents members give about their public directory entries. We never sell member data, and we never use your portal data for advertising.

Fees, dues, and payments

  • Platform fees. Fees for the Membersflow service itself are set out in your service agreement with us and invoiced separately from member payments.
  • Member payments belong to you. Application fees, dues, and other amounts your members pay through the portal are collected for your organization. Membersflow does not hold member funds.
  • Card payments. Online payments run through Paystack or Flutterwave. Settlement of those funds to your organization is governed by your own account with the relevant processor, and processor fees may apply.
  • Bank transfers. Where you accept bank transfers, Membersflow routes uploaded payment proof to your finance officer for verification and settlement against the right invoice.
  • All issued invoices and receipts are immutable records of what was paid, when, and by whom.

Third-party services

Membersflow relies on carefully chosen third parties — hosting and cloud infrastructure, Paystack and Flutterwave for card payments, and email and form-delivery providers. Their own terms apply to the parts they operate. We are not responsible for third-party outages, but we design the service so a third-party failure is contained and recoverable.

Availability and support

We aim for high availability and monitor each portal around the clock. We may take the service offline briefly for maintenance; where it is planned, we give your administrators advance notice. Support is included: onboarding is handled by a human, and your team can reach us for help at any time during your subscription.

Intellectual property

Membersflow owns the platform, its software, and its documentation, and grants your organization a non-exclusive, non-transferable licence to use them for the term of your subscription. Your organization retains all rights to its content — your logo, branding, member data, and anything you publish through the portal. You may not copy, resell, or reverse-engineer the platform itself.

Confidentiality

Each of us will keep the other's non-public information confidential and use it only to perform under these terms. This does not apply to information that is public, independently developed, or must be disclosed by law — and it continues after the agreement ends.

Ending the service

Either you or we may end the service as described in your service agreement, with written notice. When your subscription ends:

  • you can export your member register, financial records, and content in usable formats (including CSV) for at least 30 days;
  • after that export window, we delete your portal data on a published schedule, except records we must keep for legal, tax, or security purposes.

Disclaimers and liability

To the fullest extent permitted by law, the service is provided "as is" and we disclaim implied warranties of merchantability and fitness for a particular purpose. We are not liable for indirect or consequential losses. Except where the law does not allow a cap, our total liability under these terms is limited to the platform fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

Changes to these terms

We may update these terms as the service evolves. When we make a material change, we notify your administrators by email or in the portal before it takes effect. Continuing to use Membersflow after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over disputes arising from them — unless your service agreement with us specifies otherwise.
